Sr Counsel, Ofc Counsel

GENERAL PURPOSE:
Provides legal services and advice concerning a variety of health law issues, including but not limited to contracts, corporate transactions, patient care issues, physician employment and compensation, telemedicine, graduate medical education and other general legal matters that are presented to the Medical Center’s Office of Counsel.
SPECIFIC RESPONSIBILITIES:
With independent judgment and initiative, similar to the responsibility of a partner in a private law firm, Senior Counsel shall:
Serve as primary legal representative to complex corporate transactions, including acquisition of physician practices and affiliations with hospitals and health systems. In the context of such transactions, draft and negotiate definitive agreements, address issues such as Stark and Anti-Kickback, real estate, antitrust, billing compliance, due diligence, contracts, equipment lease/purchase, medical record custody, and faculty/staff hiring and employment.
Provide legal support to the Medical Center and its regional affiliates, including hospitals, long term care facilities, home health agencies, providers, and independent and assisted living communities, pertaining to state and federal laws and regulations, medical staff matters, policies, corporate transactions, board and corporate issues, contracts and other legal issues.
Review, draft and negotiate contracts and render legal advice related to hospital and physician relationships, vendors and consultants, including professional service agreements, telehealth agreements, affiliation agreements, laboratory services agreements, locum tenens agreements, confidentiality agreements, and data use and business associate agreements.
Review and draft faculty employment offers with a general understanding of employment law and New York State law and regulations. Maintain familiarity with routine provider employment-related topics such as physician compensation, tenure and faculty handbook rights and covenants not to compete.
Serve as subject matter expert for the Medical Center and affiliates on telehealth and telemedicine; and on discrete billing issues including but not limited to compliance with federal provider based billing requirements.
Have in-depth knowledge and expertise in other specialty health care topics, sufficient to identify legal issues and provide advice and guidance to leadership, including but not limited to telemedicine, provider-based status, reimbursement, Stark/Anti-Kickback, HIPAA and New York State privacy and security, general healthcare (e.g., consents, patient management, withdrawal of treatment), medical staff matters, tax, immigration, human subjects research, animal research, and/or graduate medical education.
GENERAL REQUIREMENTS :
Deliverconsistent,superiorquality, timely, ethical and efficient legalservices for the University and its affiliates;
Manage legal projects, identify legal issues and exposures to management and recommend appropriateaction;
Draft summaries of laws, regulations, cases and new developments; conduct legal educational presentations for faculty and staff;
Oversee outside legal counsel working on University or affiliate legal issues or legal disputes;
Serve on or staff University and affiliate committees; and
Undertake such other duties as may be assigned by the General Counsel of the University or of the Medical Center or as may be requested by senioradministrators.
REQUIREMENTS :
J.D. degree, and at least 10 years of relevant legal experience with a demonstrated depth of specialized knowledge of health care regulatory and transactional practice. New York State bar admitted or in house counsel eligible.

Pay Range
Pay Range: $176,400 - $282,200 Annually
The referenced pay range represents the minimum and maximum compensation for this job. Individual annual salaries/hourly rates will be set within the job’s compensation range, and will be determined by considering factors including, but not limited to, market data, education, experience, qualifications, expertise of the individual, and internal equity considerations.
